Navimow CES Sweepstakes Terms and Conditions
Sponsor and Organizer: The Sweepstakes is sponsored and by Navimow Inc. (“Navimow” or “Sponsor”).
1.BINDING AGREEMENT. By participating in the Sweepstakes, you (“Participant”) acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as all applicable laws and regulations.
2.TERMS AND CONDITIONS FOR THE SWEEPSTAKES.
2.1Participation. This Sweepstakes is an invitation to participate extended by the Sponsor to potential Participants. Your entry into the Sweepstakes will be deemed your offer to participate, and such offer will be subject to the Sponsor’s acceptance. To participate, you must submit an entry in the manner described on the Sweepstakes entry page and in compliance with these Terms and Conditions.
2.2Eligibility.
(1)Term. The Sweepstakes runs from December 15th, 2025, 0:00 AM (PDT) to, January 16th, 2025, 11:59 PM (PDT), as determined by the Sponsor’s website standard time. All entries must be received by the deadline to be eligible. The Sponsor shall not be responsible for late, lost, misdirected, incomplete, or undeliverable entries, including those due to technical, network, or system errors or failures.
(2)Capacity. Participants shall be over 18 years old and have capacity to enter into this transaction valid per law.
(3)Territory and Address.
a.Territorial restrictions. The Sweepstakes is not eligible for residents in the State of New York, the State of Florida and the Rhode Island.
b.Shipping address restrictions. Available only in the continental United States of America (for clarity, excluding the State of Hawaii etc.). The delivery address must be within areas that FedEx (“Federal Express Corporation”) can deliver to at its common delivery rate. No P.O. boxes, USPS, FedEx drop boxes, or the like, and no military or other restricted addresses. Address availability is subject to final confirmation by the Sponsor’s website before payment.
c.Exclusion. Employees, officers, and directors of Sponsor, and their immediate family members (defined as spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and/or persons living in the same household (whether or not related) are not eligible to participate.
(4)First Come First Serve. The Sweepstakes have number limit and are available on a first come first serve basis.
(5)Errors. In the event a transaction price is displayed erroneously on the website, to the extent permitted by law, the Sponsor reserves the right to correct the error and apply the correct price to the transaction, to the extent permitted by law. Participants affected by a pricing error may either complete the transaction at the correct price or cancel the transaction without cost.
2.3Methods of Entry.
(1)No Purchase Required. No purchase or payment of any kind is necessary to enter or win the Sweepstakes. A purchase does not increase Participant’s chances of winning. Participation is free.
(2)Entry Limitations. Each Participant shall enter their email address and subscribe to Navimow emails posts by agreeing to Naviow Privacy Notice (https://navimow.com/pages/navimow-privacy-notice?_pos=1&_psq=privac&_ss=e&_v=1.0) and Terms of Use (https://navimow.com/policies/terms-of-service). Each email address is eligible for only one (1) entry.
2.4 Prize Allocation and Redemption.
(1)Prize Allocation. The following prizes are available:
a. First prize: Navimow Robotic Mower (i2 AWD), 0.5% chance of winning
b. Second prize: Navimow Robotic Mower (i105), 0.5% chance of winning
c. Third prize: Navimow Robotic Mower (H800), 1% chance of winning
d. Subscription prize: Fifty (50) US Dollars-Off Coupon, 98% chance of winning
Prize is available while supply last and is issued on a first-come, first-served basis. Prize is allocated using a randomized mechanism, with the chance of receiving the prize determined by pre-assigned probabilities. Sponsor does not guarantee the availability of the prize at the time of participation.
(2)Prize Redemption.
a. Redemption of Product Prizes.
Product prizes shall be issued to the Participant in the form of a redemption code. To claim a product prize, the Participant must visit the Navimow website at https://navimow.com/, add the applicable product to the shopping cart, and enter the redemption code at checkout. Upon successful entry of the redemption code, the product price will be reduced to zero (0) U.S. dollars, with shipping costs covered by the Sponsor. Applicable taxes may still apply.
Optional shipping insurance is not included. The risk of loss, damage, theft (including porch piracy), or other issues occurring after shipment shall be borne by the Participant.
The prize is non-transferable, may not be exchanged for cash or credit, and may not be substituted, except that the Sponsor reserves the right to substitute a prize of equal or greater value if the designated prize becomes unavailable.
b. Redemption of Fifty (50) US Dollars-Off Coupon.
The Fifty (50) U.S. Dollars Off coupon shall be issued to the Participant in the form of a redemption code and may be applied at checkout toward the purchase of robotic lawn mowers from the X1 Series, X3 Series, and any new series released during the January 2026 CES event. The coupon is not applicable to disposables, accessories, or other non-qualifying items.
The coupon shall expire three (3) months from the date of issuance and may not be combined with any other coupons, discounts, or promotional offers. Navimow reserves the right, in its sole discretion, to modify or determine the scope, eligibility, and limitations of the coupon from time to time.
2.4Delivery. The Sponsor shall arrange for shipment of the prize directly to the winner at no cost. Sponsor shall not responsible for any shipping delays, damage, or delivery issues of the prize.
3.RETURNS, EXCHANGES AND WARRANTIES.
3.1Returns and Exchanges. The prize product enjoys Sponsor’s Refund Policy (https://navimow.com/policies/refund-policy). For returns due to other reasons not covered by Sponsor’s Limited Warranty Policy (https://navimow.com/pages/navimow-limited-warranty-policy) or any other agreement between the Sponsor and the Participant, the Sponsor shall have sole discretion to decide whether to accept such return. Any such return shall be subject to (i) applicable fees or deductions and (ii) return shipping costs as specified in Sponsor’s Shipping Policy (https://navimow.com/policies/shipping-policy).
3.2Warranty. The prize product enjoys Navimow Limited Warranty Policy (with link in 3.1).
4.OTHER TERMS AND CONDITIONS
4.1Right to Modify or Terminate. To the extent permitted by law, the Sponsor reserves the right to interpret, modify, terminate, or cancel this Agreement without further notice.
4.2Errors and Corrections. In the event of pricing errors displayed online or system operation errors, the Sponsor reserves the right to correct such errors, and affected customers have the right to cancel any orders placed due to those errors.
4.3VOID. VOID in the event of prohibition by law.
5.MISCELLANEOUS.
5.1Website Support. If Participant experiences any issues while using the website during the Navimow CES Sweepstakes, please contact our support team at navimowsupport-us@rlm.segway.com for assistance.
5.2Use of Name, Image and Likeness. By participating in the Sweepstakes, Participant grant Sponsor permission to use your name, image, and likeness for marketing and promotional purposes, including but not limited to posting on Sponsor’s publicly accessible social media channels. No additional consent or compensation will be provided for such use, unless otherwise required by law.
5.3Tax. Sponsor will collect and remit sales tax on qualifying transactions where legally required. Participants are responsible for any other federal, state, or local taxes that may result from participation in the Sweepstakes, including, without limitation, income, use, or other taxes attributable to promotional discounts or items provided at no additional charge. If the total value of any prize, discount, or promotional item received by a Participant equals or exceeds US $600 in a calendar year, Sponsor will issue an IRS Form 1099-MISC to the Participant and file such form with the Internal Revenue Service as required by law. As a condition of receiving such prize, discount, or promotional item, Participants may be required to provide Sponsor with a valid taxpayer identification number and completed IRS Form W-9.
Sponsor makes no representation or warranty regarding the tax treatment of any promotional offer. Participants are solely responsible for consulting their own tax advisors regarding individual tax obligations.
5.4Limitations of Liability. To the fullest extent permitted by applicable federal, state, and local laws:
(1)Right to Modify or Cancel the Sweepstakes. Sponsor (including Navimow Inc., its affiliates, subsidiaries, officers, directors, employees, agents, contractors, successors, and service providers) reserves the right, in its sole discretion, to modify, suspend, or cancel the Sweepstakes, or to amend these Terms and Conditions at any time without prior notice, where such changes are permitted by law. In the event of fraud, technical failures or system operation errors, or abuse affecting the integrity or proper functioning of the Sweepstakes, Sponsor reserves the right to disqualify any Participant involved and/or terminate or suspend the Sweepstakes, and Sponsor will not be liable for such losses incurred to Participant.
(2)Assumption of Risk and Maximum Liability. Participation in the Sweepstakes is at Participant’s own risk. Except where prohibited by law, Sponsor’s total liability to any participant for any claim arising out of or relating to the Sweepstakes—whether based on contract, tort, warranty, or other legal theory—shall not exceed the actual retail value of the promotional item or benefit received, if any.
(3)Exclusion of Certain Damages. To the extent allowed by law, Sponsor shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, or business interruption, even if advised of the possibility of such damages.
5.5No Defamation. Participant agrees not to denigrate, disparage, defame, or otherwise cast Sponsor, its products, services, brand, or reputation in a false, misleading, or negative light. Similarly, Sponsor agrees not to publicly disparage Participant. Both Sponsor and Participant shall refrain from any conduct that may damage the other’s reputation or goodwill.
5.6Governing Law and Arbitration.
(1)Governing Law. These Terms and Conditions and any claim, dispute, or controversy between Sponsor and Participant arising out of or related to the Sweepstakes shall be governed by and construed in accordance with the laws of the State of Delaware, U.S.A., without regard to its conflict of law principles, and subject to the provisions of the Federal Arbitration Act.
(2)Binding Arbitration.
a.Any dispute, claim, or controversy between Sponsor and Participant arising out of or relating to the Sweepstakes, or any breach of these Terms and Conditions, which cannot be resolved through informal negotiations, shall be finally and exclusively resolved through binding arbitration administered by the American Arbitration Association (AAA), in accordance with its then-current rules. The arbitration shall be conducted in English and held in Los Angeles, California, U.S.A., unless otherwise mutually agreed.
b.The arbitral tribunal shall have the authority to grant any remedy available under applicable law, including injunctive or interim relief. The availability and scope of such relief will be determined in accordance with the governing law.
c.The arbitral tribunal shall have the exclusive authority to determine the scope and enforceability of this arbitration provision, including any questions regarding the existence, validity, or termination of this clause or arbitrability of any claim.
(3)Confidentiality of Dispute Resolution. To the extent permitted by applicable law, both Sponsor and Participant agree to maintain the confidentiality of all aspects of any dispute resolution process, including informal negotiations, mediation, arbitration proceedings, and any related conduct, communications, or disclosures. This includes, but is not limited to, the existence of the arbitration, the arbitral proceedings, submissions, evidence, and decisions or awards issued by the arbitrator, except where disclosure is required by applicable law, regulatory authority, or court order, or in judicial proceedings related to the enforcement of an arbitral award. This confidentiality obligation does not apply to information that is already in the public domain. This arbitration agreement shall be governed by and interpreted in accordance with the Federal Arbitration Act (9 U.S.C. §§ 1–16).
5.7Waiver of Class Action and Class Arbitration. To the fullest extent permitted by applicable law, Sponsor and Participant agree that any dispute, claim, or controversy arising out of or relating to the Sweepstakes—whether at law or in equity, and whether subject to arbitration or otherwise—shall be resolved solely on an individual basis and not in a class, collective, consolidated, or representative proceeding. Sponsor and Participant further agree that:
(1)No Consolidation of Claims. The arbitrator shall not consolidate claims of more than one individual, nor may the arbitrator otherwise preside over any form of a collective, class, or representative proceeding.
(2)Prohibition on Class and Representative Actions. Neither Sponsor nor Participant shall bring or participate in any class action, class arbitration, or representative action against the other, including against affiliates, shareholders, employees, officers, or directors.
(3)Waiver of Jury Trial and Class Participation Rights. Sponsor and Participant each expressly waive the right to a jury trial and the right to participate as a class representative or class member in any class or representative proceeding.
(4)Scope and Limitations of Waiver. This waiver is intended to be broad and applies to all disputes arising out of or relating to the relationship between Sponsor and Participant in connection with the Sweepstakes. However, this provision does not waive Participant’s right to bring an individual claim in binding arbitration, as provided in Section 11 above, or in small claims court if permitted by applicable law.
