NAVIMOW GIVEAWAY SWEEPSTAKES OFFICIAL TERMS AND CONDITIONS

(For Use With Giveaways Conducted on Navimow’s Official Social Media Accounts and With KOL Collaboration Giveaways — See Schedule A for Promotion-Specific Details)

BINDING AGREEMENT. By participating in the Sweepstakes, you ("Participant") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("T&C"), as well as all applicable laws and regulations.

1. Sponsor and Organizer

The Sweepstakes is sponsored by Navimow Inc. (“Navimow” or “Sponsor”), with principal offices located at 98 Spit Brook Rd., Suite 2203, Nashua, NH.

Each Sweepstakes conducted under these T&C is administered by an “Organizer,” as identified in the applicable giveaway post and/or in Schedule A. The Organizer may be either: (a) an independent third-party content creator engaged by Navimow to conduct the Giveaway in collaboration with Navimow (a “Content Creator”), who is not an employee, agent, or representative of Navimow; or (b) Navimow’s own official social media account or team, acting directly as Organizer. Where the Organizer is Navimow itself, references in these T&C to obligations, responsibilities, or indemnification owed by the Content Creator to Navimow (including Sections 9 and 10) shall not apply, and Navimow’s administration of the Giveaway shall instead be governed by the other applicable provisions of these T&C.

2. Eligibility

2.1 Age and Capacity. Participants must be at least eighteen (18) years of age at the time of entry and must have the legal capacity to enter into this agreement under applicable law.

2.2 Geographic Restrictions. The Sweepstakes is open only to legal residents of the continental United States (excluding the States of New York, Florida, and Rhode Island, and excluding Hawaii, Alaska, Puerto Rico, and all other U.S. territories and possessions).

2.3 Address Restrictions. The winner's delivery address must be a valid street address within the continental United States (excluding Hawaii and Alaska) accessible by FedEx at standard delivery rates. P.O. boxes, USPS or FedEx drop boxes, and military or restricted addresses are not eligible for prize shipment.

2.4 Exclusions. Employees, officers, and directors of Navimow, and their immediate family members (defined as spouses, parents, children, and siblings, and their respective spouses, regardless of where they reside) and persons living in the same household (whether or not related) are not eligible to participate. Where the Organizer is a Content Creator distinct from Sponsor, employees, officers, and directors of the Organizer, and their immediate family members and household members, are likewise not eligible to participate.

2.5 Void Where Prohibited. This Sweepstakes is void where prohibited or restricted by law.

3. Sweepstakes Period

Start and end dates and times (“Sweepstakes Period”) of the sweepstakes will be announced by the Organizer in the applicable giveaway post. All entries must be received by the close of the Sweepstakes Period to be eligible. Sponsor is not responsible for late, lost, misdirected, incomplete, or undeliverable entries, including those due to technical failures or network errors.

4. How to Enter

4.1 No Purchase Necessary. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. Participation is free.

4.2 Entry Method. To enter, Participants must follow the entry instructions specified by the Organizer in the applicable giveaway post during the Sweepstakes Period, in accordance with any additional instructions provided by the Organizer. (Entry requirements may vary by Giveaway)

4.3 Entry Limitations. Limit one (1) entry per person per Sweepstakes, unless otherwise specified by the Organizer. Multiple entries by the same person will result in disqualification of all entries submitted by that person.

4.4 Automated Entries. Entries generated by script, macro, bot, or other automated means are prohibited and will be disqualified.

4.5 Tagging of Third Parties. Where an entry method requires or permits a Participant to tag another individual (e.g., a friend or family member) in a comment or post, the Participant is solely responsible for obtaining that individual’s consent to be tagged. A tagged individual who has not independently entered the Sweepstakes is not a Participant, assumes no obligations under these T&C, and is not eligible to win solely by virtue of being tagged.

4.6 Optional or Bonus Actions. Where the applicable giveaway post or Schedule A identifies certain entry actions as optional, supplemental, or “bonus” (e.g., reposting to Stories), completion of such actions is not required to enter or win, does not increase a Participant’s chances of winning, and does not affect the substantially equal odds of winning described in Section 6.1.

5. Prize

5.1 Prize Description. The prize for each Giveaway consists of the Navimow product model, quantity of winner(s), and approximate retail value ("ARV") specified in Schedule A for that Giveaway (or, if not specified in Schedule A, as stated in the applicable giveaway post).

5.2 Prize Conditions. The prize is non-transferable, non-exchangeable, and may not be substituted for cash or credit. Sponsor reserves the right to substitute a prize of equal or greater value if the designated prize becomes unavailable.

5.3 Warranty. The prize product is covered by Navimow's standard Limited Warranty Policy, available at https://navimow.com/pages/navimow-limited-warranty-policy. No additional or modified warranty applies solely by reason of the prize being awarded through this Sweepstakes.

5.4 Odds of Winning. The odds of winning depend on the total number of eligible entries received during the Sweepstakes Period.

6. Winner Selection and Notification

6.1 Selection. The potential winner will be selected by the Organizer from all eligible entries received during the Sweepstakes Period, using a method that provides each eligible entry a substantially equal chance of being selected (e.g., random drawing). Where an entry method requires specific content or format (such as a designated number of emojis, a hashtag, or a caption), an entry eligibility is determined solely by whether it satisfies that format requirement, and selection among all conforming entries remains random; entries are not selected based on creativity, quality, or other subjective merit unless the applicable giveaway post or Schedule A expressly designates the promotion as a contest rather than a sweepstakes. The selection must be completed within seven (7) days following the close of the Sweepstakes Period.

6.2 Notification. The Organizer will notify the potential winner through the platform or channel used for entry. The potential winner must respond and provide the required information (see Section 6.3) within five (5) business days of notification. Failure to respond within this period may result in disqualification, and an alternate winner may be selected.

6.3 Required Information. Prior to prize fulfillment, the potential winner must provide the following information:

Full legal name;

Valid shipping address (subject to Section 2.2); and

If the ARV of the prize equals or exceeds USD $2,000: a properly completed IRS Form W-9.

The above information may be collected by the Organizer and transmitted to Navimow, or collected by Navimow directly from the winner, as determined by Navimow and the Organizer on a case-by-case basis. The potential winner must provide the required information within five (5) business days of being notified of the collection method. Regardless of the collection method used, the W-9 (where applicable) must be received by Navimow prior to prize fulfillment.

6.4 Alternate Winners. If a potential winner: (i) fails to provide the required information within the applicable timeframe; (ii) is determined to be ineligible; or (iii) declines the prize, Navimow may request that the Organizer select and announce an alternate winner. This process may repeat until a verified eligible winner is confirmed, or the prize may not be awarded at Navimow's discretion.

6.5 Navimow Verification Rights. Navimow reserves the right to disqualify any potential winner who does not meet the eligibility requirements set forth in Section 2, who provides false or incomplete information, or who cannot be verified within a reasonable time.

7. Tax Compliance

7.1 W-9 Requirement. If the ARV of the prize equals or exceeds USD $2,000, the prize shall NOT be awarded or shipped until the verified winner has submitted a properly completed IRS Form W-9 to Navimow. Upon receiving the completed W-9, Navimow will issue an IRS Form 1099-MISC to the winner for the applicable tax year.

7.2 Below Threshold. If the ARV of the prize is less than USD $2,000, submission of a Form W-9 is not required as a condition of prize fulfillment; however, the winner remains solely responsible for reporting any prize income to the IRS as required by applicable law.

7.3 Winner Responsibility. Navimow makes no representation or warranty regarding the tax treatment of any prize. Winners are solely responsible for all applicable federal, state, and local taxes and should consult their own tax advisors regarding individual tax obligations.

8. Prize Fulfillment

8.1 Shipment. Upon verification of the winner and receipt of all required information, Navimow will arrange shipment of the prize directly to the winner at no cost. Sponsor is not responsible for shipping delays, damage in transit, or other delivery issues.

8.2 Timing. Navimow will use commercially reasonable efforts to ship the prize within fifteen (15) business days following successful winner verification and receipt of all required information.

9. Required Disclosures by Organizer

The Organizer is responsible for ensuring the following disclosures are made in connection with the Giveaway:

9.1 Sponsorship Disclosure. Where the Organizer is a Content Creator distinct from Sponsor, the Organizer must clearly and conspicuously disclose the material connection between the Organizer and Navimow in accordance with applicable FTC guidelines (e.g., using "#ad", "#sponsored", or an equivalent disclosure). This disclosure must appear at or near the beginning of any video or post, and must be clearly visible to viewers without requiring any action by the viewer. Where the Giveaway is posted directly on Navimow’s own official account, this Section 9.1 does not apply.

9.2 Sweepstakes Disclosure. The Organizer must include the following statement in the giveaway post or video description:

"This giveaway is sponsored by Navimow Inc. No purchase necessary to enter or win. Open to legal residents of the continental United States (excluding New York, Florida, and Rhode Island), 18 years of age or older. Odds of winning depend on the total number of eligible entries received. Void where prohibited. For full Official Rules and Terms & Conditions, visit: [https://navimow.com/pages/navimow-giveaway-sweepstakes-official-terms-and-conditions]."

9.3 Winner Announcement. The Organizer must announce the selected winner publicly (on the same platform and channel used for the Sweepstakes) within a reasonable time following verification.

10. Organizer Responsibilities and Indemnification

10.1 Responsibilities. The Organizer is solely responsible for:

(a) The administration and conduct of the Giveaway on the applicable platform(s);

(b) Selecting potential winner(s) in a fair and lawful manner, consistent with applicable platform rules and guidelines;

(c) Publicly announcing potential winner(s) and cooperating with Navimow to facilitate winner verification and, where applicable, the selection of alternate winners;

(d) Where the Organizer collects winner information on behalf of Navimow pursuant to Section 6.3: securely handling and transmitting such information to Navimow in a timely manner; and

(e) Complying with all applicable advertising, sweepstakes, prize promotion, and privacy laws, and making all required disclosures as set forth in Section 9.

10.2 Indemnification. The Organizer agrees to indemnify, defend, and hold harmless Navimow and its affiliates, officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, regulatory fines, and reasonable attorneys' fees to the extent arising from the Organizer's gross negligence, willful misconduct, or material breach of this Agreement, including failure to comply with applicable laws.

11. Use of Name and Likeness

By participating in the Sweepstakes, each Participant grants Sponsor permission to use their name, image, and likeness for marketing and promotional purposes, including posting on Sponsor's publicly accessible social media channels, without additional consent or compensation, unless otherwise required by applicable law.

12. General Conditions

12.1 Right to Modify or Terminate. Sponsor (including Navimow Inc., its affiliates, subsidiaries, officers, directors, employees, agents, contractors, successors, and service providers) reserves the right, in its sole discretion, to modify, suspend, or cancel the Sweepstakes or amend these T&C at any time without prior notice, to the extent permitted by applicable law. In the event of fraud, abuse, or technical failures affecting the integrity of the Sweepstakes, Sponsor reserves the right to disqualify any Participant and/or terminate the Sweepstakes.

12.2 Errors and Corrections. In the event of errors in these T&C or in the administration of the Sweepstakes, Sponsor reserves the right to correct such errors to the extent permitted by applicable law.

12.3 Platform Disclaimer. This Sweepstakes is in no way sponsored, endorsed, administered by, or associated with Instagram, Meta Platforms, Inc., or any other social media platform on which it is promoted (each, a “Platform”). Any information a Participant provides in connection with the Sweepstakes is provided to Navimow and not to any Platform. Each Participant releases each Platform from any and all liability arising out of or relating to the Sweepstakes. Any questions or comments regarding the Sweepstakes should be directed to Navimow, not to any Platform.

13. Limitations of Liability

13.1 Assumption of Risk. Participation in the Sweepstakes is at Participant's own risk. Except where prohibited by law, Sponsor's total liability to any Participant for any claim arising out of or relating to the Sweepstakes shall not exceed, whether based on contract, tort, warranty, or other legal theory, the actual retail value of the prize received, if any.

13.2 Exclusion of Damages. To the extent permitted by law, Sponsor shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, or business interruption, even if advised of the possibility of such damages.

13.3 No Disparagement. Participant agrees not to denigrate, disparage, defame, or otherwise cast Sponsor, its products, services, or reputation in a false, misleading, or negative light. Sponsor similarly agrees not to publicly disparage Participant.

14. Governing Law and Dispute Resolution

14.1 Governing Law. These T&C and any dispute arising out of or related to the Sweepstakes shall be governed by and construed in accordance with the laws of the State of Delaware, U.S.A., without regard to its conflict of law principles, and subject to the provisions of the Federal Arbitration Act.

14.2 Binding Arbitration. Any dispute between Sponsor and Participant arising out of or relating to the Sweepstakes that cannot be resolved through informal negotiation shall be finally and exclusively resolved through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its then-current rules. The arbitration shall be conducted in English and held in Los Angeles, California, U.S.A., unless otherwise mutually agreed. The arbitral tribunal shall have the authority to grant any remedy available under applicable law, including injunctive or interim relief. The availability and scope of such relief will be determined in accordance with the governing law. The arbitral tribunal shall have the exclusive authority to determine the scope and enforceability of this arbitration provision, including any questions regarding the existence, validity, or termination of this clause or the arbitrability of any claim.

14.3 Confidentiality. To the extent permitted by applicable law, both Sponsor and Participant agree to maintain the confidentiality of all aspects of any dispute resolution process, including informal negotiations, mediation, arbitration proceedings, and any related conduct, communications, or disclosures. This includes, but is not limited to, the existence of the arbitration, the arbitral proceedings, submissions, evidence, and decisions or awards issued by the arbitrator, except where disclosure is required by applicable law, regulatory authority, or court order, or in judicial proceedings related to the enforcement of an arbitral award. This confidentiality obligation does not apply to information that is already in the public domain. This arbitration agreement shall be governed by and interpreted in accordance with the Federal Arbitration Act (9 U.S.C. §§ 1–16).

14.4 Waiver of Class Action and Class Arbitration.

To the fullest extent permitted by applicable law, Sponsor and Participant agree that any dispute, claim, or controversy arising out of or relating to the Sweepstakes — whether at law or in equity, and whether subject to arbitration or otherwise — shall be resolved solely on an individual basis and not in a class, collective, consolidated, or representative proceeding. Sponsor and Participant further agree that:

(a) No Consolidation of Claims. The arbitrator shall not consolidate claims of more than one individual, nor may the arbitrator otherwise preside over any form of a collective, class, or representative proceeding.

(b) Prohibition on Class and Representative Actions. Neither Sponsor nor Participant shall bring or participate in any class action, class arbitration, or representative action against the other, including against affiliates, shareholders, employees, officers, or directors.

(c) Waiver of Jury Trial and Class Participation Rights. Sponsor and Participant each expressly waive the right to a jury trial and the right to participate as a class representative or class member in any class or representative proceeding.

(d) Scope and Limitations of Waiver. This waiver is intended to be broad and applies to all disputes arising out of or relating to the relationship between Sponsor and Participant in connection with the Sweepstakes. However, this provision does not waive Participant's right to bring an individual claim in binding arbitration, as provided in Section 14.2 above, or in small claims court if permitted by applicable law.


SCHEDULE A — PROMOTION-SPECIFIC DETAILS

This Schedule A sets out the promotion-specific details for each Giveaway conducted under these T&C. The details below, together with any additional entry instructions posted in the applicable giveaway post, govern the specific Giveaway identified. In the event of a conflict between this Schedule A and the giveaway post, this Schedule A controls. Sponsor may update this Schedule A from time to time to add, remove, or revise promotions without amending the body of these T&C.
